‍Real Estate projects

-         Provided pragmatic solutions for foreign investors and local developers to invest and develop condominium projects, office projects and complex projects throughout Vietnam.

-         Provided legal advice, regarding the multi-party business model of serviced residence businesses, to the project company - SPA owners and LTLA holders – as well as the respective residential management companies responsible for managing projects in Ho Chi Minh City and other provinces of Vietnam.

-         Advised, drafted, and reviewed property distribution document packages for residential, condotel and office projects in Ho Chi Minh City, Da Nang and Khanh Hoa in both the primary and the secondary markets.

-         Provided consultancy services to developers as well as brand management companies, during lease back programs and pool rental programs.

-         Provided legal advice regarding misallocation of common areas and allocation of sinking funds in condominium buildings.

-         Engaged as one of only a few lawyers by port developers in Vietnam when seaport facilities started to be developed in Ba Ria Vung Tau over the period 2006 – 2014. The sea port developers in question were SP-PSA International Ports and SP-SSA International Terminals.

-         Conducted legal review of FIDIC- based contractual documents between project developers and foreign construction contractors.

‍Licensing projects

-         Acted on behalf of the owner of a five-star hotel project in Khanh Hoa province, with a brief to obtain all relevant licenses for an electronic gaming business that provided prizes for foreigners, as well as arranging for the import of Aristocrat Slot Machines and the launch of the hotel’s e-game club.

-         Advised and supported a postal service provider, enabling it to obtain the required postal service license for its Vietnamese operations.

-         Advised and supported an architectural practice to obtain a certificate of eligibility for class 1 project designs and master planning.

-         Leda “first of its kind” case, whereby the client, in pursuit of the development of a 3.3-hectare project in HCMC, had initially had its application dossier rejected by the relevant authorities. The solution provided involved the reduction of capital in a joint venture real estate company by means of a redemption of issued shares. Owing to the successful resolution of this case, the client to was able to proceed with this major development. ‍

Hospitality projects

-         Acted as lawyer, on behalf of the owner of a five-star hotel project in Khanh Hoa province, to provide legal solutions that would allow for the restructuring of its shareholdings in preparation for a forthcoming M&A deal.

-         Rendered legal solutions (inclusive of pool rental programs) for real estate projects in the coastal provinces of Vietnam to sell real estate products, as well as drafting and concluding the package of sale documents that arose from the solutions.

-         Acted as the retained lawyer for a foreign developer developing eco-tourism projects located at Cam Ranh Peninsula, Khanh Hoa Province.

-         Provided consultancy services to developers from the hospitality sector, as well as brand management companies, during lease back programs and pool rental programs

Healthcare project

-         Acted on behalf of a fund management business to both negotiate and close an M&A deal with private hospital group by the provision of legal due diligence and the drafting of the deal’s legal structure.

Express delivery & postal services

-         Acted as the lawyer for a local postal-related service provider and its shareholders, to negotiate and to close a share deal with a high-profile investment fund.

-         Acted as the retained lawyer for a local postal-related service provider, to monitor its on-going legal compliance.

Litigated

-         Took the lead in an administrative case whereby a luxury car dealership sued the Customs Department of Ho Chi Minh City against a tax claw back of USD 30million.

-         Engaged as lawyer by the developer of a five-star hotel project to settle a dispute with its project management company that had arisen during the build stage of the hotel.

-         Acted as the legal counsel in many commercial and labor litigation cases, under both court proceedings and arbitral proceedings.

-         Engaged in multiple dispute resolutions between developer – contractors and developer –customers.
