Project Finance
- Advising on legal issues related to commercial issues of Vietnam Oil and Gas Group on the project of Nghi Son Petrochemical Refinery.
- Advising Vietnam Oil and Gas Group on financial mechanisms related to financial restructuring of Nghi Son Refinery and Petrochemical Plant project.
- Regular consultation on internal legal issues for Nghi Son Refinery and Petrochemical Branch.
- Legal review and assessment of compliance with relevant laws and internal regulations of Nghi Son Refinery and Petrochemical Branch.
Dispute resolution
- Advising one of Vietnam's largest power generation company's on its coal supply agreement and performance of obligations for the dispute of $16 million (USD). Per the agreement, the seller supplies with more than 1.2 million tons of coal for two Vietnamese power plants, contributing to 11% of the maximum load capacity in the entire Southern region in Vietnam.
- Participate in litigation advising one of Vietnam's largest power generation company's on its coal supply agreement and performance of counterparty's obligations for the dispute of $2.5 million (USD). As the Claimant, has initiated a dispute with an international supplier who supplies coal to domestic market via imported coal from Indonesia, China, and Australia, Laos and Mongoli.
- Advising one of Vietnam's largest power generation company's on its coal supply agreement and performance of counterparty's obligations for the dispute of $7 million (USD). Specifically addressing delays in supply and the foreign contractor tax liability to the Vietnamese Government. Whereas the opposing party is a premier trading, distribution and manufacturing company with a network of offices and subsidiaries spanning more than 27 countries in Africa, Europe, the Middle East, Latin America and Asia.
- Advising one of Vietnam's largest power generation company's on its coal supply agreement and performance of counterparty's obligations for the dispute of $3.5 millions (USD) - a dispute with an international supplier over a coal supply agreement.
- Avised to one of leading oil and gas companies entered into a contract with the oppposing party to purchase hot induction bends for a gas pipeline project under a contract between client and one of its counterparties in 2019. The Opposing Party provided with non-conformity goods which did not comply with technical specifications under the Contract. Client had to immediately hire third parties to remedy the defects, as a result, it has been brought the dispute to arbitration at the Vietnam International Arbitration Centre.
- Engaging in litigation for a client is one of the leading companies specializing in trading and procurement services in the Oil and Gas field. In 2020, Client entered into a contract with an American energy company to provide certain maintenance services regarding gas turbine generators from 2020 – 2022. During the performance of the contract, the parties had a dispute, and the American company filed a lawsuit at SIAC.
Corporate and M&A
- Assisting a Japanese credit institution in conducting legal due diligence to acquire a consumer finance company in Vietnam (2021).
- Assisting a furniture manufacturer in China to review and report on the legal compliance of its wooden flooring subsidiary in Vietnam, serving the IPO in China (2020).
- Assisting a Chinese joint-stock enterprise in conducting legal due diligence for a subsidiary in the field of construction in Vietnam, serving the IPO in China (2020).
- Support joint-stock enterprises to perform legal due diligence for hotel technology integration companies in Vietnam (2022).
Others
- Participating in court litigation for a 100% US-invested garment company, with a factory in one of the major industrial parks in Vietnam – requesting to sue the decision to sanction tax administrative violations is illegal, requesting the abolition of arrears of tax and interest paid in CIT that Client incurred totaling nearly VND 80 billion USD.
- An explanation to the competent inspection agency for an international company established in 1993 that is a leading unit in the field of manufacturing and distributing wholesale goods (lingerie) throughout Vietnam, explanations related to the company's business activities on distribution activities, wholesale of imports from 2018 to 2021.
